Who This Statement Applies To

This Risk Disclosure Statement applies to all users of the CardStack platform, including those who access trading, investment, wallet, payments, and marketplace features. By using any financial feature of the platform, you confirm you have read and understood this statement.

This statement does not constitute a comprehensive list of all risks. The risks described are the principal risks. Other risks exist that may not be described here. You should seek independent legal, financial, and tax advice before engaging in any activity on this platform.

Principal Risk Categories

Market & Price Risk

Digital assets and collectibles are highly volatile. Prices can fall to zero rapidly and without warning. Historical price data is not a reliable guide to future performance. Do not invest money you cannot afford to lose entirely.

Liquidity Risk

Some assets on this platform may have limited secondary market liquidity. You may be unable to sell at your chosen price, or at all. Wide bid-ask spreads and large price impact are common in illiquid markets.

Regulatory & Jurisdictional Risk

The regulatory environment for digital assets varies by jurisdiction and is changing rapidly. Legislative or regulatory changes may adversely affect the value, legality, or transferability of assets held on this platform. You are solely responsible for compliance with the laws of your jurisdiction.

Technology & Smart Contract Risk

Digital assets depend on blockchain networks, cryptographic protocols, and smart contracts that may contain security vulnerabilities, suffer from congestion, or be subject to attacks, forks, or protocol failures. CardStack does not guarantee the security or correctness of any underlying network or contract.

Platform & Counterparty Risk

Digital assets held on the CardStack platform are NOT covered by the Financial Services Compensation Scheme (FSCS) or any equivalent depositor or investor protection scheme. If CardStack Technologies Ltd were to become insolvent, you may lose all assets held on the platform.

Leverage & Derivatives Risk

Leveraged or synthetic products amplify both gains and losses. You may lose more than your initial deposit. Margin calls may require additional funds at short notice. Failure to meet a margin call may result in forced liquidation of your positions at an unfavourable price.

Custody & Operational Risk

Holding digital assets on a centralised platform means you do not control the private keys. Platform outages, security incidents, or operational failures may temporarily or permanently prevent access to your assets. Consider whether self-custody is more appropriate for large holdings.

Tax & Reporting Risk

Tax treatment of digital assets varies by jurisdiction. In the UK, HMRC treats most cryptoasset disposals as chargeable gains subject to Capital Gains Tax. You are solely responsible for calculating, reporting, and paying any taxes arising from your activity on this platform.

The CardStack platform — including all content, price data, analytics, AI-generated insights, portfolio tools, performance charts, and educational materials — is provided for informational and educational purposes only. Nothing on this platform constitutes, or should be construed as, a personal recommendation, investment advice, research, solicitation, or offer to buy or sell any financial instrument, security, or digital asset within the meaning of the Financial Services and Markets Act 2000 (FSMA 2000) or the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001.

CardStack Technologies Ltd is not authorised or regulated by the Financial Conduct Authority (FCA), the Prudential Regulation Authority (PRA), the Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), the European Securities and Markets Authority (ESMA), or any other financial regulatory body in any jurisdiction.

Before making any investment or trading decision, you should consult a qualified independent financial adviser authorised by the FCA (or an equivalent regulator in your jurisdiction), who can assess your individual financial circumstances, risk tolerance, and investment objectives.

2. Digital Assets and Cryptoassets

Most digital assets, including CardStack tokens and tradeable collectibles, are classified as unregulated tokens under UK law and do not constitute regulated investments within the meaning of FSMA 2000. They are not legal tender, are not backed by any government or central bank, and have no guaranteed intrinsic value.

The digital asset market operates 24 hours a day, 7 days a week. Prices may change dramatically within minutes. There is no circuit breaker or trading halt mechanism. Some assets may cease trading permanently if the issuer abandons the project or if the underlying network fails.

UK Tax Warning: HMRC treats cryptoasset disposals as chargeable events for Capital Gains Tax (CGT) purposes. This includes selling, swapping, gifting, and using cryptoassets to pay for goods or services. You are required to keep records of all transactions and report gains on your Self Assessment tax return. Failure to do so may result in HMRC penalties and interest. See HMRC's Cryptoassets Manual for guidance.

3. FSCS and Investor Protection

FSCS Non-Coverage Notice

Digital assets and funds held on the CardStack platform are NOT protected by the Financial Services Compensation Scheme (FSCS). The FSCS protects eligible deposits (up to £85,000 per person) with authorised banks, building societies, and credit unions — it does not cover cryptoasset exchange or custody services. If CardStack Technologies Ltd were to become insolvent, you may lose all digital assets and funds held on the platform.

The Financial Ombudsman Service (FOS) may also not have jurisdiction over complaints arising from unregulated cryptoasset activities. You should consider this limitation when deciding how much to hold on any centralised platform.

4. AML, KYC, and Sanctions Compliance

CardStack is subject to the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (MLRs 2017). We are required to maintain an anti-money laundering programme, conduct customer due diligence (CDD), monitor transactions, and report suspicious activity to the National Crime Agency (NCA) via Suspicious Activity Reports (SARs) under the Proceeds of Crime Act 2002 (POCA) s.330.

The platform operates screening against OFAC, UN, EU, and UK (OFSI) sanctions lists. You must not use the platform if you are a sanctioned person, acting on behalf of a sanctioned person, or resident in a sanctioned jurisdiction. Attempting to circumvent sanctions screening is a criminal offence under the Sanctions and Anti-Money Laundering Act 2018 (SAMLA) and the Terrorism Act 2000.

Under the Reporting Cryptoasset Service Providers (Due Diligence and Reporting Requirements) Regulations 2025 (UK CARF), we are required to apply due diligence to all users and report account and transaction information to HMRC annually by 31 May. This reporting obligation applies to all users with reportable transactions, regardless of nationality or tax residence.

5. Consumer Duty Statement

Although CardStack Technologies Ltd is not currently authorised by the FCA and is therefore not directly subject to FCA Principle 12 (Consumer Duty), we voluntarily commit to the standards set out in FCA PS22/9 as a matter of good governance:

  • Products & Services: We will only offer products suitable for the intended user base and will not target high-risk products at users showing signs of vulnerability.
  • Price & Value: All fees are disclosed transparently before any transaction. We do not use hidden charges or price anchoring to mislead users about total cost.
  • Consumer Understanding: Risk warnings, disclaimers, and this disclosure are placed at the point of use — not buried in footnotes. They use plain language and are not designed to be dismissed.
  • Consumer Support: Support is available via support@cardstack.app. Complaints are handled under our formal Complaints Procedure (available on request).

6. No Guarantees or Warranties

CardStack makes no representation or warranty, express or implied, as to the accuracy, completeness, timeliness, or fitness for purpose of any information, data, price feed, analytics output, or AI-generated content on the platform. Any projections, forecasts, or “expected returns” are illustrative only and are not guarantees of future performance.

The platform is provided on an “as is” and “as available” basis. CardStack does not warrant that the platform will be available without interruption, error-free, or free from security vulnerabilities. System outages may affect your ability to execute trades, access funds, or take protective action on open positions.
